Substantial Issuer Bid - Paid-Up Capital
Please refer to the section entitled "9. INCOME TAX CONSEQUENCES" of our Offer to
Purchase and Circular dated August 13, 2007, as amended by the Notice of Variation
dated September 6, 2007 (collectively, the "SIB Circular") for a complete description
of income tax consequences to shareholders participating in our substantial issuer
bid. Any terms used in this section which are denoted with an initial capital letter
but are not defined in this section have the meaning given to such term in the SIB

The paid-up capital per Magna Class A Subordinate Voting Share on the Expiration
Date was Cdn.$41.68. Based on the Bank of Canada noon rate on September 25, 2007
of U.S.$1.00 equals Cdn.$1.0010, the U.S. equivalent is U.S.$41.64.
